1. Scope of Divisions & Operations

AM Digital Designs operates under two distinct functional divisions:

Agency & Client Services: B2B digital services, including Brand Strategy, UX/UI Design, Web Development, Mobile App Engineering, and AI Integrations provided to business clients ("Clients").
Innovation Lab & Research Platform: Global user experience (UX) testing, beta features, prototype evaluation, and participant feedback systems ("Platform Participants").

2. Acceptance & Governance

By browsing this site, enrolling as a Client, or participating in UX research sessions, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms of Use, our Privacy Policy, and our Cancellation & Refund Policy.

3. B2B Client Services & Master Agreements

All design, development, and AI engineering projects executed for Clients are governed by their respective individual Service Agreements, Contract Proposals, and our Cancellation & Refund Policy. Specific terms regarding project scope, milestone deposits, 15-day payment grace periods, and source code handoff take precedence over general website terms.

4. Platform Participants & UX Testing

Participants engaging in UX research, usability testing, or beta software evaluation agree that all submitted feedback, suggestions, and test recordings become the sole property of AM Digital Designs. Test participants must adhere to all non-disclosure and confidentiality obligations communicated prior to test sessions.

5. Intellectual Property Rights

Unless otherwise stated, AM Digital Designs owns the intellectual property rights for all material on this website, software code, design concepts, graphics, and proprietary AI tools. Approved master vector files, final source code, and deliverables transfer to Client ownership only upon 100% full payment clearance of all project invoices.

6. User Conduct & Prohibited Activities

You agree to use our website and platform only for lawful purposes. You are strictly prohibited from:

Engaging in unauthorized data harvesting, web scraping, or database mining.
Attempting to gain unauthorized access to any system, server, client portal, or database connected to AM Digital Designs.
Using this website or portal to transmit harmful malware, viruses, or spyware.
Interfering with the security or performance of our platform or client portals.

7. Disclaimer of Warranties & Limitation of Liability

This website and its content are provided on an "as is" and "as available" basis. In no event shall AM Digital Designs, its directors, or employees be liable for any indirect, consequential, or incidental damages arising out of your use of this website, research platform, or external third-party links.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.
