UX Research Non-Disclosure Agreement (NDA)

Thank you for participating in a User Experience (UX) research study, software usability test, or AI prototype evaluation conducted by the Amdura™ Innovation Lab ("Amdura™," "we," or "us").

To foster genuine innovation, we often test unreleased software, proprietary algorithms, and cross-cultural interfaces long before they are available to the public. By accepting an invitation to participate in an Amdura™ research session, you ("Participant" or "Tester") agree to be legally bound by this Non-Disclosure Agreement (NDA).

1. Definition of Confidential Information

For the duration of your research session, you will be exposed to highly sensitive, proprietary business assets. "Confidential Information" encompasses everything you see, interact with, or hear during the session, including but not limited to:

• Unreleased website designs, wireframes, and UI/UX architecture.
• Conversational AI prompts, responses, or behavior logic (including Aries™).
• Unpublished branding assets, logos, and color palettes.
• Information regarding Amdura™ clients, internal workflows, or upcoming feature roadmaps.

2. Strict Non-Disclosure Obligations

As a Participant, you are legally bound to maintain the strict confidentiality of all materials presented to you.

• No Public Sharing: You may not discuss, blog about, post on social media, or otherwise share details regarding the research session or the prototypes tested.
• No Recording or Capturing: You are strictly prohibited from taking screenshots, screen recordings, photographs, or audio recordings of the testing environment, web interfaces, or interview questions.
• No Reverse Engineering: You agree not to attempt to reverse engineer, decompile, or copy the source code of any unreleased software application presented during the study.

3. Intellectual Property Rights & Feedback

Amdura™ values your insights and cross-cultural feedback; however, participation does not grant you ownership over the software you test.

• Ownership of Feedback: Any ideas, usability feedback, design suggestions, or bug reports you provide during the session become the exclusive intellectual property of Amdura™. You hereby assign all rights, title, and interest in such feedback to Amdura™ without expectation of additional royalty or compensation beyond the agreed-upon participant stipend.
• Amdura™ IP: Amdura™ retains all patents, copyrights, trademarks, and trade secrets related to the prototypes and final products.

4. Research Data Privacy & Telemetry

We respect your privacy as a research participant. During the session, we may collect:

• Session recordings (audio/video) strictly for internal UX analysis.
• Click-tracking, heatmaps, and digital telemetry to observe how you navigate the prototype.
• Demographic data strictly necessary for cross-cultural research cohorting.

Your research data will be anonymized where possible, will never be sold to data brokers, and is processed in accordance with our overarching Privacy Policy.

5. Term & Survival

Your obligation to maintain the confidentiality of unreleased prototypes and trade secrets survives the termination of your testing session and remains in effect indefinitely, or until the Confidential Information officially becomes public knowledge through no fault or breach on your part.

6. Enforcement & Injunctive Relief

You acknowledge that any unauthorized disclosure of Confidential Information may cause irreparable harm to Amdura™ or its enterprise clients. In the event of a breach, Amdura™ reserves the right to seek immediate injunctive relief, in addition to any other legal or financial remedies available under Massachusetts law.
